Terms of service

These terms are an agreement between Individual Entrepreneur Aleksandra Ilina (identification code 345855906), which operates Diallo (“Diallo”, “we”, “us”), and the person or organisation that creates an account or uses the service (“you”, “the customer”). Together with our privacy policy they govern your use of the Diallo website, dashboard and AI voice agents.

By creating an account, signing in or using the service you confirm that you have read and accept these terms. If you use the service on behalf of a company, you confirm that you may accept these terms on its behalf. If you do not agree, do not use the service.

Last updated: 14 October 2026

1. The service

Diallo lets businesses create AI voice agents that answer incoming calls in Georgian, Russian and English — on the business’s phone number, connected over SIP through the business’s telecom operator, and in the browser on the business’s website — collect the details a caller gives, create requests and bookings, and show calls, recordings, transcripts and analytics in a dashboard.

Agents only answer calls made to the business. Diallo does not place outgoing calls, run call campaigns or send SMS.

On request we also help set up agents, their knowledge (information about your company) and integrations. The scope and price of such work are agreed separately.

2. Your account

You may sign up with a Google account, or we create the account for you. You must be at least 18 and use the service for your business, not for personal or household purposes.

Give us accurate information and keep it up to date. Keep your sign-in details secret: you are responsible for everything done in your workspace. Tell us at once at envmotion@gmail.com if you suspect someone else has access to it.

3. Trial, plans and minutes

A new workspace starts on a free trial with a small number of minutes. The trial is for evaluating the service; we may change or end it at any time.

“Minutes” here are the time our AI agents spend on calls, not telephone minutes: the phone number and its call minutes you pay to your telecom operator (see section 4). Each plan includes a monthly number of agent minutes and a limit on parallel calls, as shown in the dashboard or in your order. Minutes are counted per call and rounded up to the whole minute. Unused minutes do not carry over to the next month.

When the month’s minutes run out, new calls are not started and calls in progress may be ended until the next month or until more minutes are added.

4. Prices and payment

Prices are in Georgian lari (GEL): a one-time setup fee of ₾1,350 (configuring the agent and integrating it with your CRM or messenger), a subscription of ₾810 per month per agent, and ₾270 one-time for each additional language. Telephony (the phone number and call minutes) you pay directly to your telecom provider. Taxes are charged where Georgian law requires.

The subscription is paid monthly in advance: it is charged automatically every month to the card you paid with (a recurring payment), or paid on the basis of our invoice. Card payments go through the Flitt payment service, with TBC Bank as the acquiring bank; we do not see or store your card details.

If an invoice is not paid within 14 days of its due date, we may suspend the service after notifying you. Refunds and cancellation are governed by our Payment, refunds and cancellation policy, which forms part of these terms.

We may change prices by telling you at least 30 days in advance. The new price applies from the next billing month; if you do not accept it, you may cancel before it takes effect.

5. Your responsibilities

You are responsible for how you use the service, for your agents’ instructions and knowledge, for the data you upload and for complying with the laws that apply to your business and to your calls.

Do not upload data you have no right to use, and do not upload special categories of personal data (for example health data, biometric data or card numbers) unless we have agreed to it in writing.

6. Acceptable use

The full rules are in our Acceptable use policy, which forms part of these terms. In particular, you may not use the service:

  • for fraud, deception, phishing, pyramid schemes or other unlawful activity;
  • to threaten, harass or insult anyone, or to spread unlawful content;
  • to imitate the voice of a real person without their consent, or to pretend that an AI agent is a human when asked;
  • to have the agent ask callers for card numbers, passwords, SMS codes or other credentials, or take payments by voice;
  • as a substitute for emergency services or where a mistake could put life or health at risk;
  • to interfere with the service, test its security without our permission, or overload it.

If a caller asks to speak to a person, the agent must offer another way to reach your business (for example a phone number, a callback or a message).

We may suspend an agent or the whole workspace without prior notice if we reasonably believe it is used in breach of this section, and we may report unlawful activity to the competent authorities.

7. Calls, consent and AI disclosure

Every call your agents answer is recorded and transcribed. You are responsible for having a lawful basis for every call and for informing your callers. In particular:

  • have your agent say at the start of the call on whose behalf it is speaking and that it is an AI assistant;
  • have it tell callers at the start of the call that the call is recorded and transcribed;
  • if a caller asks, confirm that they are talking to an AI and tell them how to reach a person.

When we set up an agent, we put these notices in its greeting; if you change the greeting, keep them. What callers are told is described in our AI and call recording notice. We do not collect consent on your behalf and do not check whether your calls are lawful.

8. Personal data

Our privacy policy explains how we process the data of website visitors and dashboard users.

For the data of your callers you are the controller and we are the processor: we process it only to provide the service to you, on your instructions, and keep it confidential and secure, as set out in our Data processing agreement, which forms part of these terms. We use the sub-processors listed on our website, bound by equivalent obligations. You must inform your callers about the processing and have a lawful basis for it.

We may use anonymised and aggregated statistics about the use of the service to operate and improve it. We do not use your callers’ recordings or transcripts to train models without your permission.

9. Intellectual property

The service, its software, models, design and the Diallo name and logo belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use the service for your business for as long as these terms apply.

Your content (agent instructions, knowledge, recordings and transcripts of your calls) remains yours. You give us the right to use it only as needed to provide the service to you.

You may use the texts, summaries and other results the service produces for your calls in your business. Such results are produced automatically, may contain errors and may be similar to results produced for others.

You may not copy, resell or sublicense the service, extract its source code or models, scrape it, or use it to build a competing product. If you send us suggestions, we may use them without any obligation to you.

10. Third-party services

The service relies on cloud hosting, speech and language model providers, your telecom operator and, if you connect them, your own tools (for example Google Calendar, a CRM or Telegram). Their availability and quality are partly outside our control, and your use of your own tools is subject to their terms.

11. Availability and changes to the service

We make reasonable efforts to keep the service available and working, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, preferably outside business hours in Georgia. How we provide support and handle incidents is described on our Support and service levels page.

We develop the service continuously and may change, add or remove features. If a change significantly reduces what you pay for, we will tell you in advance and you may cancel.

12. Disclaimer

Except as these terms expressly say, the service is provided “as is”. AI agents can mishear, misunderstand or answer incorrectly; check important information and do not use the service where a mistake could put life, health or safety at risk.

Nothing in these terms limits the rights that the law gives consumers and that cannot be waived by agreement.

13. Limitation of liability

We are not liable for indirect damage, lost profit, lost data or loss of business reputation. Our total liability for all claims under these terms is limited to the amount you paid us for the service in the 12 months before the claim arose, or 100 GEL if you used the service for free.

These limits do not apply where the law does not allow liability to be limited, in particular for damage caused intentionally or by gross negligence.

14. Your liability to us

You will compensate us for losses, fines and reasonable legal costs caused by claims of third parties or authorities that arise from your breach of these terms or of the law.

15. Suspension and termination

You may cancel the subscription and ask us to close your workspace at any time, as described in our Payment, refunds and cancellation policy. The subscription stays active until the end of the paid month; the fee for the current month and the setup fee are not refunded.

We may suspend or close your workspace if you seriously or repeatedly breach these terms, do not pay, or if the law requires it. Where possible we will warn you first and give you time to fix the problem.

After the workspace is closed you can ask us within 30 days for an export of your data; after that we delete it, except for what the law requires us to keep.

16. Changes to these terms

We may update these terms. We will tell you about material changes by email or in the dashboard at least 14 days before they take effect. If you continue to use the service after that, you accept the new terms; if you do not agree, you may cancel before they take effect.

17. Governing law and disputes

These terms are governed by the law of Georgia.

Before going to court, write to us at envmotion@gmail.com and we will try to resolve the dispute within 30 days. Disputes that cannot be resolved this way are decided by the competent courts of Georgia in Tbilisi. This does not take away a consumer’s right to go to the court that the law allows them to choose.

18. Force majeure

Neither party is liable for failing to perform its obligations (other than payment) because of events outside its reasonable control, such as natural disasters, war, acts of authorities, epidemics, large power or network failures and failures of telecommunications operators. The time for performance is extended for as long as such an event lasts.

19. General

You may not transfer your rights and obligations under these terms without our consent; we may transfer them together with the service. If a provision is found invalid, the rest remains in force. Our failure to enforce a provision is not a waiver of it.

These terms are published in Georgian, Russian and English. If the versions differ, the Georgian version prevails.
